Welcome to GelUI ("we", "our", or "us"). These Terms and Conditions govern your access to and use of the GelUI design system, component library, documentation, and related services available through uigel.com (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

Definitions

"Service" refers to the GelUI design system platform, including but not limited to: the component library, design tokens, primitives, patterns, layouts, documentation, Studio builder, and all related tools and resources provided through uigel.com.

"User", "you", or "your" refers to any individual or entity accessing or using the Service, whether as a free user, subscriber, or contributor.

"Content" means all materials available through the Service, including but not limited to: source code, design components, documentation, images, icons, typography assets, and any other digital materials.

"User Content" refers to any content, feedback, suggestions, or contributions submitted by users to the Service, including but not limited to component contributions, bug reports, feature requests, and community discussions.

License & Usage

License and Usage Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its Content for your personal and commercial projects.

You may use GelUI components, primitives, and design tokens in your own applications and products. You may modify and adapt the components to suit your project requirements. You may use the documentation and patterns as reference for your own design system implementation.

You may not redistribute, resell, or sublicense the GelUI design system or its components as a standalone product or competing design system. You may not remove or alter any copyright notices, branding, or attribution from the source code. You may not use the Service to create a product that directly competes with GelUI as a design system offering.

The GelUI name, logo, and branding elements are proprietary and may not be used without our prior written consent, except as required for reasonable attribution.

Accounts

User Accounts

Certain features of the Service may require you to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.

You may delete your account at any time by contacting us or through the account settings interface. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy, though we may retain certain information as required by law or for legitimate business purposes.

Intellectual Property

Intellectual Property Rights

The Service and its original Content (excluding User Content) are and shall remain the exclusive property of GelUI and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used without our prior written consent.

All design tokens, component architectures, glassmorphism techniques, contrast detection algorithms, and other technical innovations within the GelUI design system are proprietary intellectual property. The layered architecture including tokens, primitives, components, patterns, and layouts represents original creative and technical work.

If you submit any User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such content in connection with the Service. You represent that you have the right to grant this license and that your content does not infringe upon the rights of any third party.

You agree not to use the Service for any purpose that is unlawful, harmful, or prohibited by these Terms. Specifically, you shall not attempt to reverse engineer, decompile, or disassemble any proprietary algorithms, systems, or processes within the Service beyond what is available in the open-source components.

You shall not use automated systems, bots, or scrapers to access the Service in a manner that exceeds reasonable use or places undue burden on our infrastructure. You shall not transmit any malicious code, viruses, or harmful data through the Service.

You shall not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity. You shall not interfere with or disrupt the Service or servers or networks connected to the Service.

You shall not use the Service to collect, store, or process personal data of other users without their explicit consent and in violation of applicable data protection laws.

Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

We collect minimal data necessary to provide and improve the Service. This may include usage analytics, performance metrics, and technical information about your browser and device. We do not sell your personal information to third parties.

The Service is provided on an "as available" basis. We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, updates, or upgrades that temporarily affect Service availability.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes adding or removing features, components, or documentation. We will make reasonable efforts to communicate significant changes in advance.

We may release new versions of components, tokens, or other assets that may not be backward-compatible. It is your responsibility to review changelogs and migration guides before updating to new versions in your projects.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that the components will be error-free or bug-free, or that any defects will be corrected. You acknowledge that your use of the Service is at your sole risk.

In no event shall GelUI, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you have paid us, if any, in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless GelUI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If you wish to terminate your use of the Service, you may simply discontinue using the Service and, if applicable, delete your account. Any licenses granted under these Terms for use of components in your existing projects shall survive termination, provided such use remains in compliance with the license restrictions described herein.

Governing Law

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GelUI operates, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration or litigation in the appropriate courts.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against GelUI.
